1. Introduction
This Subscription Agreement (“Agreement”) governs the subscription and use of the PartnerPro Rewards program (“Service”) operated by PartnerPro Technology (“Company”, “we”, “our”, or “us”).
By subscribing to or using the Service, the subscribing business (“Client”, “you”, or “your”) accepts and agrees to be bound by this Agreement.
If you do not agree to these terms, you must not use the Service.
2. Subscription Services
The Company provides access to the PartnerPro Rewards digital loyalty platform, which includes:
Digital loyalty card system
Stamp/point tracking
Reward creation and configuration
Customer engagement tools
Administrative dashboard
Technical support as described herein
The Company reserves the right to update or improve the Service at any time.
3. Subscription Fees and Payment Terms
3.1. Subscription Fees
Subscription fees are charged according to the pricing plan selected by the Client.
All fees:
Are due in advance
Are non-refundable
Are subject to change with prior notice
3.2. Payment Method
Payments must be made using the payment methods accepted by the Company.
3.3. Non-Payment
Failure to pay subscription fees may result in:
Suspension of access
Termination of the Service
Withholding of technical support
4. Term and Renewal
4.1. Subscription Term
The subscription begins on the date payment is received and continues for the duration of the chosen plan.
4.2. Auto-Renewal
Subscriptions may automatically renew unless the Client cancels before the renewal date.
4.3. Cancellation
The Client may cancel at any time.
Cancelation does not entitle the Client to any refund for unused periods.
5. Client Responsibilities
The Client agrees to:
Configure their own loyalty program correctly
Ensure reward accuracy and fulfillment
Monitor employee access and prevent misuse
Train staff on proper system use
Ensure data entered is accurate
Maintain secure access to login credentials
The Company is not responsible for:
Incorrect reward issuance
Employee misuse or fraud
Customer complaints
Human errors by Client staff
Losses arising from internal operational issues
6. Reward Fulfillment
All rewards, offers, discounts, and benefits provided through PartnerPro Rewards are the full responsibility of the Client.
The Company:
Does not issue rewards
Does not guarantee reward availability
Is not part of any reward-related dispute between the Client and customers
7. System Usage and Restrictions
The Client may not:
Copy, duplicate, or resell the system
Reverse-engineer or attempt to access the backend
Modify branding or remove ownership notices
Grant access to unauthorized third parties
Misuse or unlawfully exploit the Service
The Company may suspend or terminate access if abuse or misuse is detected.
8. Data & Privacy
8.1. Data Processing
The Company processes only the minimum amount of data necessary to operate the Service.
8.2. Data Ownership
Customer data belongs to the Client.
The Company may store and process such data solely for operational purposes.
8.3. Anonymized Analytics
We may use aggregated, anonymized data to improve system performance.
8.4. No Data Selling
We do not sell personal data to third parties.
9. Service Availability
We strive to keep the Service available, secure, and operational.
However, we do not guarantee:
Uninterrupted access
Absence of downtime
Error-free functionality
Scheduled or unscheduled maintenance may occur.
10. Limitation of Liability
To the maximum extent permitted by law, the Company is not liable for:
Losses caused by Client employees (misuse, fraudulent stamps, fake redemptions)
Incorrect reward or stamp issuance
Customer dissatisfaction
Lost revenue or business interruption
Technical issues beyond our control
Data loss not caused by our negligence
The Company’s total liability shall not exceed the amount paid by the Client in the previous 3 months.
11. Termination by the Company
We may suspend or terminate access if:
The Client violates this Agreement
Fraud, abuse, or illegal activity is detected
Subscription fees remain unpaid
The Client’s actions threaten system integrity
Upon termination, all data may be archived or deleted according to our policies.
12. Intellectual Property
All platform components, software, interfaces, logos, and technology belong exclusively to PartnerPro Technology.
The Client receives a limited, revocable, non-transferable license to use the Service during the subscription period.
13. Amendments
The Company may modify this Agreement at any time.
Continued use of the Service constitutes acceptance of the updated terms.
